Commercial and product terms written for a modern B2B SaaS relationship.

Effective date: April 19, 2026. These terms govern the use of Prime RP unless a separate written order form or enterprise agreement states otherwise. If there is a conflict, the signed order form controls.

1. Agreement and eligibility

By accessing or using Prime RP, you agree to these Terms. You represent that you are authorized to bind yourself or the organization on whose behalf you use the service. If you do not agree, do not use the service.

2. Services, subscriptions, and accounts

We provide access to the Prime RP website, software, and related services described in your order form, proposal, trial, or onboarding materials. We may update, improve, or modify features from time to time.

Accounts must use accurate information and be secured with reasonable credentials and access practices.
Customer administrators are responsible for user provisioning, permission management, and internal policy alignment.
We may offer pilot, trial, beta, or preview features under additional or modified conditions.

3. Customer data

As between the parties, you or your organization retain rights in customer data submitted into the service. You grant us the rights needed to host, process, transmit, back up, secure, and otherwise operate the service for your benefit.

You are responsible for ensuring you have the rights, permissions, notices, and lawful basis needed to submit and process customer data through the service.

4. Acceptable use

You may not use Prime RP to:

violate law or the rights of others;
attempt unauthorized access, interference, scraping, or security circumvention;
upload malware, harmful code, or deceptive content;
abuse communications, impersonate others, or misroute sensitive operational data; or
resell, mirror, copy, reverse engineer, or misuse the service except where law prohibits restricting that activity.

5. AI-assisted features

Prime RP may include AI-assisted summarization, metadata extraction, ranking, workflow assistance, or other model-driven capabilities. AI outputs may be incomplete or incorrect and should be reviewed by humans before being relied on for legal, employment, compliance, financial, or other high-impact decisions.

6. Fees, invoices, and payment

Fees, billing terms, implementation terms, taxes, and payment schedules are set out in your order form or other written commercial agreement. Unless otherwise stated, fees are non-refundable except where required by law.

7. Intellectual property and feedback

We retain rights, title, and interest in Prime RP, including the software, site design, branding, and improvements. If you submit feedback, suggestions, or enhancement ideas, you grant us the right to use them without obligation, unless a separate written agreement says otherwise.

8. Confidentiality

Each party may receive confidential information from the other. The receiving party must protect it with reasonable care, use it only for the permitted business relationship, and not disclose it except to those with a need to know and suitable obligations.

9. Disclaimers

Except as expressly stated in a signed agreement, the service is provided on an “as is” and “as available” basis to the fullest extent permitted by law. We disclaim implied warranties including merchantability, fitness for a particular purpose, and non-infringement.

10. Limitation of liability

To the fullest extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenues, goodwill, or data, arising from or related to the service. Our aggregate liability for claims related to the service will not exceed the amounts paid or payable by you for the relevant services during the twelve months preceding the event giving rise to the claim, unless a different cap is stated in your signed agreement.

11. Suspension and termination

We may suspend or terminate access where necessary to address security threats, unlawful conduct, material breaches, unpaid fees, or misuse that threatens the service or others. You may stop using the service at any time, subject to your contract and payment commitments.

12. Governing law and disputes

Unless your order form states otherwise, these Terms are governed by the laws of the United Arab Emirates, excluding conflict-of-law rules. The parties will attempt to resolve disputes in good faith before escalating to formal proceedings.

13. Changes and contact

We may update these Terms from time to time. Material changes will be reflected by updating the effective date. Questions can be directed to legal@primerp.ai.
